Imagine you trade your old motorbike directly for your neighbour's lawnmower. Something real and valuable changed hands — you now own a mower, your neighbour owns a bike — but no money ever moved between you. If you kept a strict cash diary, this swap would leave no trace, even though your situation genuinely changed. A non-cash transaction in business is exactly this kind of meaningful deal in which no cash is exchanged.
A non-cash transaction is an investing or financing event that affects assets, liabilities, or equity but involves no cash flowing in or out during the period. Classic examples include buying a building by issuing shares to the seller, acquiring equipment under a finance lease, converting bonds into common stock, or settling a debt by handing over an asset. Because the cash flow statement reports only cash, these deals are excluded from its three main sections — otherwise the statement would no longer tie out to the change in cash.
Yet leaving them out entirely would hide important economic events, so accounting rules require that significant non-cash transactions be disclosed separately, usually in a note or a schedule at the bottom of the cash flow statement. This matters because a company can dramatically reshape its balance sheet — take on huge lease obligations, for example — without a single dollar showing up in the cash flow statement, and a careful reader needs to know.

Depreciation is not a non-cash transaction in this sense — it is a non-cash expense already inside net income, not a separate investing/financing swap, so it is handled by the reconciliation, not the disclosure note.
